COVERDASH POLICY AUTO-RENEWAL AUTHORIZATION

By purchasing a policy through Coverdash, you agree to the Coverdash Policy Auto-Renewal Enrollment Agreement, which authorizes Coverdash to automatically renew your eligible policies and to execute the documents reasonably necessary to do so. Automatic Renewal

The Client consents that Coverdash may automatically renew each policy placed through Coverdash at the end of its term, solely to renew the Client's existing policies and for no other purpose, and authorizes Coverdash to take the steps reasonably necessary to effect that renewal, unless the Client opts out or cancels as provided below. This Agreement applies only to policies for which Coverdash facilitates billing and premium payment.

Renewal Documentation

Where a policy is financed, the premium finance provider may require a new premium finance agreement ("PFA") for each term. The steps reasonably necessary to effect a renewal include, but are not limited to, any PFA, renewal application, or related documentation required by the carrier or premium finance provider to bind the renewed term.

Renewal Pricing Conditions

Renewal premiums are set by the insurance carrier and may change from term to term. Coverdash will proceed with automatic renewal where the renewal premium does not increase by more than 20% relative to the expiring term and where no other material terms of coverage change. Where the increase would exceed 20%, or where material coverage terms change, Coverdash will seek the Client's renewed consent before binding the renewal.

Payment

Automatic renewals are charged using the recurring payment authorization the Client provides at purchase, as described in the Auto Pay Enrollment Disclaimer in the Coverdash Terms and Conditions. Where the Client has elected to pay over time through premium financing, renewals continue on that financed basis; where the Client pays in full, renewals are charged in full. The Client is responsible for maintaining a valid payment method on file.

Right to Opt Out or Cancel

The Client may opt out of automatic renewal, or cancel a policy, at any time by logging into your Coverdash Dashboard. The request will take effect after Coverdash has a reasonable period to process it. Opting out may result in coverage lapsing at the end of the current term unless the Client arranges renewal.

No Guarantee of Coverage

Insurance carriers decide whether to offer, renew, or cancel coverage. Nothing in this Agreement obligates any carrier to renew a policy, and Coverdash is not responsible for a carrier's decision to non-renew, cancel, or re-price coverage.

Legal Compliance

The authorizations in this Agreement are provided solely to facilitate renewal of the Client's policies. The Client shall not hold Coverdash liable for a carrier's or premium finance provider's decisions, or for legal issues arising from the renewal actions authorized here.

Governing Law

This Agreement shall be governed by the laws of the State of Delaware, and any dispute arising from it shall be resolved in a court or administrative body of competent jurisdiction in the State of Delaware.

Waiver of Jury Trial

The parties waive any and all right to trial by jury in any legal proceeding arising out of or related to this Agreement or the transactions contemplated herein.

Arbitration

Any claim, dispute or controversy arising from or relating to this Agreement or the relationships that result from it, including the validity or enforceability of this arbitration clause or the entire Agreement, shall be resolved, upon the election of you or us, by binding arbitration pursuant to this provision and AAA Commercial Arbitration Rules. This arbitration agreement is made pursuant to a transaction involving interstate commerce and shall be governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16. Each party bears its own attorney's fees and costs. THE PARTIES AGREE THAT ANY PARTY MAY ELECT TO RESOLVE ANY CLAIM THROUGH ARBITRATION AND HEREBY WAIVE THEIR RIGHTS TO LITIGATE CLAIMS IN A COURT UPON AN ELECTION OF ARBITRATION.
